Reward Programme Terms

These terms and conditions (“Reward Terms”), together with each applicable Programme Schedule and any documents referred to herein (collectively the "Programme Terms") set out the terms on which LKQ will administer, and the eligibility requirements for, its reward programmes (the "Programme(s)").

Each and every Programme is governed by and subject to these Programme Terms and our general B2B (Trade) terms and conditions of sale, which can be found online at https://corporate.eurocarparts.com/terms-and-conditions/ (the "General Terms").

1. DEFINITIONS AND INTERPRETATION

1.1 In these Reward Terms, the following definitions shall apply:

“Business Customer” meaning a trade customer of LKQ (not being a consumer), as defined in the applicable Programme Schedule;

“Calendar Year” meaning the period commencing 1st January and ending 31st December;

“LKQ” meaning either: LKQ Group (UK) Limited with company number 2680212, whose registered address is at T2, Birch Coppice Business Park, Danny Morson Way, Dordon, Tamworth, England, B78 1SE, acting for itself through one of its trading entities or on behalf of an LKQ Affiliate;

“LKQ Affiliate” meanings any subsidiary of LKQ or any subsidiary of the holding company of LKQ, including LKQ (Distribution Ireland) Limited with company number 66609, whose registered address is at 13-18 City Quay, Dublin 2, D02 ED70;

“Member” meaning a Business Customer who participates in a reward programme pursuant to these Reward Terms;

“Points” meaning the points earned and accumulated by a Member for purchasing Qualifying Products;

“Programme” meaning a programme operated by LKQ for the accumulation of Points and the redemption of Rewards for its Members, as detailed in the applicable Programme Schedule;

“Programme Schedule” meaning a schedule to these Reward Terms each of which corresponds to, and details the applicable terms for, a Programme;

“Qualifying Products” meaning those qualifying products as determined by LKQ and/or [as set out in Schedule X];

“Qualifying Transaction” meaning the purchase of Qualifying Products by a Member of a Programme, their spend on which shall allow that Member to earn Points for the purposes of accruing Rewards under the applicable Programme, as further defined in the applicable Programme Schedule;

“Reward” meaning a reward offered by LKQ to Members of a Programme based on the value of Points earned by that Member at the time of redemption, as detailed in clause 4.9;

1.2 To the extent there is any conflict or inconsistency between the Reward Terms, a Programme Schedule and/or the General Terms, the following (descending) order of precedence shall apply to the extent of the conflict or inconsistency:

(a) The applicable Programme Schedule;

(b) The Reward Terms;

(c) The General Terms.

1.3 References to clauses are to sections of these Reward Terms, and any references to paragraphs are to paragraphs of the applicable Programme Schedule.

2. REWARD PROVIDER

2.1 The Programmes are provided and administered by LKQ, operating as one of its trading entities including LKQ Euro Car Parts, LKQ Leisure and Marine, LKQ Coatings and/or LKQ Digraph.

2.2 The LKQ group of companies include its subsidiaries, holding company and those owned by its holding company in accordance with section 1154 of the Companies Act 2006 (“Group Companies”).

2.3 For any queries relating to a Programme, you may

2.3.1 contact LKQ using the contact details provided in the relevant Programme Schedule; or

2.3.2 directly also contact your account manager.  

3. MEMBERSHIP

3.1 The eligibility criteria, terms of membership and applicable exclusions for membership to a Programme are defined in this clause 3 and the applicable Programme Schedule. This clause 3 should be read in conjunction with the applicable Programme Schedule to verify the terms of membership to each Programme.

3.2 Programmes are available only to Business Customers. Only a Business Customer can register to become a Member of the Programmes.

3.3 Unless specified otherwise in the applicable Programme Schedule, all Members must be domiciled or incorporated in the United Kingdom and aged 18 years or over.

3.4 Subject to the applicable Programme Schedule(s), a Business Customer may be a Member of several Programmes at any given time. Subject to clause 3.5.1, all memberships shall be accessed via Rewards using a single unique email address (“Login”).

3.5 Members may be a part of a group of multiple sites or garages (“Multi-Sites”) in which case LKQ may, in its absolute discretion, determine that those Multi-Sites are either:

3.5.1 Associated garages are to be treated as separate for the purposes of meeting any spend and/or reward thresholds for the applicable Programme and as such may have multiple Logins (each an “Associated Garage”); or

3.5.2 Linked garages are to be treated as one and the same for the purposes of meeting any spend and/or reward thresholds for the applicable Programme and as such will share a single Login (“Linked Garages”).

3.6 If a Business Customer is not an Associated Garage and is found to hold more than one Login, LKQ may, at its discretion, cancel all Programme memberships and accumulated benefits held by that Business Customer.

3.7 The following are not eligible for, and are excluded from membership to, each and every Programme:

3.7.1 Officers, directors, employees (and their immediate families) of LKQ or any of its Group Companies;

3.7.2 Suppliers, providers and agencies associated with the Programmes;

3.7.3 Employees, agents, officers, and representatives of any government department or political entity;

3.7.4 Entities whose activities may bring the reputation of LKQ into disrepute.

4. THE PROGRAMME(S)

4.1 The general rules and requirements applicable to all Programmes are contained in these Reward Terms, and the details of each specific Programme are detailed in the applicable Programme Schedule.

4.2 Each Programme is governed by its own rules and requirements in respect to what constitutes a Qualifying Transaction for the purposes of earning rewards, and the method of redemption for such rewards. The applicable rules and requirements specific to each Programme can be found in the applicable Programme Schedule.

4.3 Each Programme allows Members to accumulate points per Qualifying Transaction as set out in the respective Schedules ("Points").

4.4 Points will be credited to the Member account by the end of the calendar month immediately following the month in which the Qualifying Transaction occurred. Points are earned on the value of Qualifying Transactions excluding VAT, delivery and any reimbursements and/or refunds. Any and all refunds will be deducted from the Members total spend on Qualifying Transactions in the month in which the return was made by that Member.

4.5 Member account balance statements can be accessed online via the link provided in the applicable Programme Schedule (each the “Website”).

4.6 Points will not be awarded for any Qualifying Transactions made during any period of suspension of the Members Programme account or after the date of the termination such account. LKQ will use its reasonable endeavours to notify the Member of any suspension or termination of their account within reasonable time, but shall not be obliged to notify such Member and shall have no liability in respect of any Points which would have been earned by that Member but for the suspension and/or termination of their account.

4.7 If any amounts due to LKQ by a Member are not paid in accordance with the agreed payment terms ("Overdue Payments"), LKQ reserves the right to cancel the Points that would have otherwise accrued to that Member and/or temporarily suspend the redemption of any rewards via the Website. For avoidance of doubt, LKQ has no obligation to reinstate any Points if any Overdue Payment is later made by the Member. 

4.8 Unless specified otherwise in the applicable Programme Schedule, Points will accumulate from the date of a Member’s enrolment in a Programme, including any period of on-boarding and verification.

4.9 Points can be redeemed for a variety of rewards as categorised in the table at clause 4.9 (“Rewards”). All Rewards are subject to change from time to time and LKQ reserves the right to withdraw or add Rewards at its discretion without prior notice to Members.

4.9.1 LKQ may allow tool vouchers to be redeemed against specific invoices and may allow Points to be credited against the Members account.

4.9.2 Points have no cash value and cannot be exchanged for cash or a cash equivalent. Points are non-transferrable and cannot be transferred between Members or to any other party.

4.10 LKQ does not guarantee the availability of any particular Reward and Members should regularly check the Website for details of available Rewards at the point of redemption, and instructions on how to redeem any accrued Points for the Rewards available. Points can only be redeemed by the Business Customer and not by any individual employed or hired by the Business Customer or any third party.

4.11 Tangible Rewards will be sent to the trading or registered address of the Member provided to LKQ at the time of registration to the Programme (or as later updated). In the case of e-vouchers, these will be sent to the Member’s registered email address. It remains the responsibility of the Member to ensure their details are up to date at all times and LKQ accepts no liability or responsibility arising from the Member’s failure to update their account.

4.12 Rewards (and the corresponding Points) will be considered delivered and redeemed once they are sent to the applicable address listed on the Member’s account at the time of redemption. Title to the Reward, and risk of damage to or loss of the Reward shall pass to the Member upon delivery.

4.13 Unless otherwise confirmed by LKQ (in writing) to a Member, any Points that are not redeemed within twelve months of the end of the calendar quarter in which they were allocated will automatically expire without notice, and such Points cannot be redeemed by or re-issued to that Member.

4.14 Lost, redeemed Points or any Points which the Member fails to redeem cannot be reissued or refunded, and it remains the responsibility of the Member to comply with these Programme Terms, secure their account and prevent the loss or unauthorised access to their Points.

4.15 LKQ may from time to time modify the eligibility requirements for each Programme, the scope of Qualifying Transactions, the nature of the Rewards which are available and the value of Points. Where LKQ makes any such change(s), LKQ will endeavour (but shall not be obliged) to notify Members either by email or by posting such changes on the Website.

4.16 Any reward obtained through the Programme must be attributed to the Business Customer. In the event that a Business Customer is a company or an organisation, the Business Customer must nominate an individual person as its representative to enrol in the Programme on its behalf, but not in his/her own name or on his/her own behalf, by providing LKQ with a formal letter of nomination. The nominee provided by the Business Customer will be deemed as having legitimate full authorisation from the Business Customer to claim such Reward, and LKQ accepts no responsibility or liability howsoever arising from the Business Customer's choice of nominee or their failure to update or replace such nominee.

4.17 LKQ reserves the right to suspend Members from one or all enrolled Programmes for failure to comply with these Programme Terms at any time at its discretion.

5. COMPLIANCE

5.1 The Member represents and warrants that:

5.1.1 it and its officers and employees shall comply with all applicable foreign or domestic laws, statutes and regulations relating to anti-bribery and corruption including but not limited to the Bribery Act 2010 ("Anti-Corruption Laws");

5.1.2 none of the Rewards provided by LKQ to the Member pursuant to the Programme will be paid to, or accrue directly or indirectly for the benefit of, any person, firm, corporation or other entity, other than Member employees, with the exception of charitable gifts or donations. The Member shall be free to distribute the Rewards received through the Programme to its employees as it sees fit;

5.1.3 it shall keep full and accurate books and records of the Rewards received through the Programme(s) (and to whom these have been provided) for five (5) years after the receipt of such Rewards, and to make all such books and records available to LKQ's duly authorised representatives as deemed necessary by LKQ to verify the Member's compliance with these Programme Terms.

5.2 Any failure of the Member to comply with this clause 5 shall be deemed a material breach of these Programme Terms which is incapable of remedy. The Member shall immediately report to LKQ any breach or suspected breach of this clause 5 from its knowledge of such breach or suspected breach.

5.3 Notwithstanding clause 10 below, LKQ may (at its sole discretion and upon providing written notice to the Member) terminate Member's account(s) and block its Login(s) (whether temporarily or otherwise) with immediate effect if LKQ makes a good faith determination that the Member or any person acting on the Member's behalf has breached any representations, warranties and/or covenants contained in clauses 5 or 6 and/or otherwise has committed a violation of Anti-Corruption Laws or caused LKQ, its officers, directors, employees and/or affiliates to be in violation of Anti-Corruption Laws.

6. REPRESENTATIONS AND WARRANTIES

6.1 Each party to these Programme Terms represents and warrants to the other party that it:

6.1.1 is a business, duly registered and of good standing under the laws of the jurisdiction where it is established;

6.1.2 has the authority and right to enter into and perform its obligations under these Programme Terms; and

6.1.3 will comply with all applicable laws and these Programme Terms in full.

6.2 The Member represents and warrants to LKQ that:

6.2.1 all information provided by it to LKQ is accurate, complete and will be kept up to date;

6.2.2 it will only permit authorised individuals to access its account details;

6.2.3 it shall comply with the applicable terms of use of the Website; and

6.2.4 it will keep its Login and other account details secure and confidential and acknowledges that it is responsible for all permitted access to its account and any access that results from its failure to keep the account access details secure and confidential.

6.3 Except as set out in these Programme Terms, all warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from these Programme Terms.

7. LIMITATION OF LIABILITY

7.1 This clause 7 sets out LKQ's entire liability (including any liability for the acts or omissions of our employees, agents and sub-contractors) to a Business Customer in respect of:

7.1.1 any one or more breach of these Programme Terms; and

7.1.2 any representation, statement or tortious act or omission (including negligence) arising under or in connection with the Programme(s).

7.2 Nothing in these Programme Terms excludes or limits the liability of either party for death or personal injury caused by its (or its agents) negligence, for fraud or fraudulent misrepresentation or any other matter which cannot be excluded or limited by law.

7.3 Subject to clause 7.2, LKQ will not be liable to a Business Customer for loss of profit, business, income or revenue, loss of or corruption and/or damage to data, any unredeemed rewards, wasted expenditure, depletion of goodwill or any other indirect or consequential loss howsoever arising.

7.4 Subject to clauses 7.2 and 7.3, LKQ’s total aggregate liability to a Business Customer whether arising in contract or tort (including negligence) shall not exceed fifty thousand pounds (£50,000).

8. TAX

8.1 LKQ is not authorised to provide tax advice regarding the nature, receipt or redemption of any Rewards and members should seek independent tax advice before registering for a Programme.

8.2 LKQ is not liable for any income, use, sales, excise, business or other tax liability of Members that may arise as a result of their membership of the Programme(s).

8.3 The Member agrees to indemnify and hold harmless LKQ and its Group Companies and any of their employees, directors or agents from and against any claim that arises out of or relates to any sales, use, value added, excise, business or other taxes or fees levied on any Reward redeemed by the Member under the Programme.

9. DATA PRIVACY

9.1 To operate and administer the Programme(s) and the Website, LKQ may require the collection of personal data belonging to Business Customers, their nominees or other third parties, including (but not limited to) names, contact details and email addresses.

9.2 LKQ will use the data collected in accordance with clause 9.1 to open and administer a Member’s account, to verify a Member's eligibility for a Programme and to notify Members of any changes. By accepting these Programme Terms, you consent to LKQ processing such personal data for these purposes.

9.3 LKQ will handle any personal data collected pursuant to this clause 9 in accordance with its Privacy Notice, which can be found at: Privacy Notice.

9.4 The Business Customer acknowledges that the withdrawal of their consent for the processing of personal data described in this clause 9 shall preclude LKQ from offering the Programme(s) to that Business Customer. As such:

9.4.1 any and all memberships to the Programme(s) and access to the Business Customer's account(s) and Login(s) shall cease with effect from the date consent is withdrawn;

9.4.2 any and all Points held by the Business Customer at the date of their consent withdrawal shall be lost and irredeemable; and

9.4.3 where the Business Customer later reinstates their consent for such processing, that Business Customer will be required to open a new account and re-register for the Programme(s) in accordance with these Programme Terms and the applicable Programme Schedule(s).

10. CANCELLATION, SUSPENSION AND TERMINATION

10.1 A Member may terminate its Programme membership at any time by giving notice to LKQ in accordance with clause 11 of these Programme Terms. Immediately on receipt of such notice by LKQ:

10.1.1 the Member may no longer accrue any Points (but any Rewards accrued but not yet received by that Member shall remain unaffected);

10.1.2 the Member’s access to LKQ Rewards shall be locked, but that Member shall still be able to login strictly for the purposes of redeeming any Points in accordance with clause 10.1.3 below;

10.1.3 all Points held by the Member as at the date of LKQ’s receipt of such notice must be redeemed by the Member within 12 months of this date (the “Redemption Period”). Any Points outstanding following the expiry of the Redemption Period shall be lost and will no longer be available to redeem.

10.2 LKQ may terminate:

10.2.1 a Member's account(s) and/or its membership to Programme(s) for any reason at any time on not less than thirty (30) days written notice. In such a case, no new Points may be accrued after the effective date of termination but any Points already awarded as at this date continue to be redeemed against Rewards until they would ordinarily expire in accordance with clause 4.14;

10.2.2 a Member's account(s) and/or its membership to Programme(s) held by the relevant Business Customer immediately on written notice if the Member commits a material breach of these Programme Terms or the applicable Programme Schedule which is incapable of remedy or, to the extent the breach is remediable, which it has failed to remedy within 14 (fourteen) days of receiving notice to do so. All Points and rights to receive Rewards shall be cancelled automatically from the effective date of termination.

10.3 LKQ may suspend a Member’s account(s) and Login(s) held by the relevant Business Customer and their right to accumulate and redeem Points immediately if:

10.3.1 the Member is in breach of the Programme Terms (provided always that such breach is capable of remedy) until such time as the breach is remedied to the satisfaction of LKQ; and/or

10.3.2 LKQ has reason to believe that the Member's account is being misused, has been used for any fraudulent or illegal activity or has been accessed by an unauthorised third party.

10.4 Any suspension pursuant to clause 9.3 shall remain in place until LKQ has received satisfactory evidence from the Member that the breach has been remedied and/or the Member provided satisfactory evidence that the Member account is not subject to misuse, fraudulent or illegal activity. For the avoidance of any doubt, no Points shall accumulate and no Rewards may be redeemed during any period of suspension pursuant to clause 9.3.

11. NOTICES

11.1 Notices given under this Agreement must be in writing and sent to a party’s registered office or trading address (as applicable) or via email to the contact(s) specified below. Notices may be given, and shall be deemed received:

11.1.1 by first-class post, two Business Days after posting;

11.1.2 by hand, on delivery; or

11.1.3 by email to the contact specified in clause 2 of these Programme Terms in the case of notices to LKQ, or to the contact provided in the Member's account for notices served on a Member, once sent.

11.2 This clause 11 does not apply to notices given in legal proceedings.

12. MISCELLANEOUS

12.1 LKQ will not be liable for any failure or delay in the performance of any of its obligations under the Programme Terms caused by factors outside its control.

12.2 Each of LKQ's rights or remedies under these Programme Terms is without prejudice to any other right or remedy to which LKQ may be entitled at law.

12.3 LKQ may amend these Programme Terms from time to time. Updated Programme Terms will be available on the Website.

12.4 These Programme Terms and the General Terms constitute the entire agreement between the Member and LKQ and will supersede and replace any previous agreements or understandings between the parties relating to the Programmes.

12.5 If any provision or part-provision of these Programme Terms is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the remainder of these Programme Terms.

12.6 Any waiver by LKQ of any breach of, or any default under, any provision of the Programme Terms by the Member will not be deemed a waiver of any subsequent breach or default and will in no way affect the other terms of the Programme Terms. The failure or delay by LKQ in enforcing or partially enforcing any provision of the Programme Terms will not be construed as a waiver of any of LKQ's rights under the Programme Terms.

12.7 Neither of the parties intend that any term of these Programme Terms will be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person that is not a party to it.

12.8 These Programme Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with its subject matter shall be governed by and construed in accordance with the laws of England and Wales, whose courts shall have exclusive jurisdiction to settle any dispute or claim arising thereunder.

 

Programme Schedule(s)

1TEC Auto Hub

This schedule (the “1TEC Schedule”) sets out the terms of membership to our 1TEC Programme. This 1TEC Schedule is in addition to, and should be read in conjunction with, the Reward Terms.

1. DEFINITIONS AND INTERPRETATION

1.1 The terms defined in the Reward Terms shall apply to this 1TEC Schedule. Additional definitions applying exclusively to this 1TEC Schedule are as follows:

“Eligibility Criteria” means the prerequisite(s) for membership to the 1TEC Programme, in the case of this 1TEC Schedule being a fully onboarded member to the 1TEC concept and having a signed contract with LKQ to this effect.

“Business Customer” meaning business and/or trade customers of LKQ including sole traders, partnerships and registered companies which are signed up to the 1TEC Auto Hub concept.

“Membership Period” meaning the duration of a Member’s participation the 1TEC Programme, as detailed in paragraph 3 of this 1TEC Schedule.

“Monthly Spend” means the amount determined in accordance with in paragraph 4.3.

“Qualifying Transaction” means the products purchased from LKQ by the Business Customer, the purchase of which is a qualifying transaction for the purposes of earning Points under the 1TEC Programme, as further defined in paragraph 4.1 of this 1TEC Schedule.

1.2 In the event of any conflict or inconsistency between this 1TEC Schedule and the Reward Terms, this 1TEC Schedule shall prevail to the extent of that conflict or inconsistency.

2. THE 1TEC PROGRAMME

2.1 The 1TEC Programme is only available to Business Customers.

2.2 Members of the 1TEC Programme can access their account balance statements and Points online via lkqrewards.co.uk.

2.3 For queries regarding your membership to the 1TEC Programme, please contact us at Lkqrewards@eurocarparts.com. Alternatively, you can contact your account manager.

2.4 A new set of Programme Terms must be signed by the Business Customer each year or as determined by LKQ at its sole and absolute discretion.

3. ENROLLMENT

3.1 Enrolment in the 1TEC Programme is not automatic.

3.2 A Business Customer must meet the Eligibility Criteria and register on lkqrewards.co.uk to activate its membership to the 1TEC Programme.

3.3 LKQ reserves the right to amend the Eligibility Criteria from time to time at its discretion. Members must satisfy the Eligibility Criteria in force as at the date of their registration and as may be amended thereafter throughout their participation in the 1TEC Programme.

3.4 Eligibility may be assessed by LKQ on an ongoing monthly basis.

3.5 If the Eligibility Criteria is met, the Business Customer will be eligible for Rewards on a rolling basis for so long as they meet the Eligibility Criteria; Where the Eligibility Criteria is not met, LKQ may (at its sole and absolute discretion) remove the Member from the 1TEC Programme subject to the rest of the Programme Terms (the "Membership Period").

4. POINT ACCUMULATION

4.1 Points are earned against a Business Customer’s spend on products purchased from LKQ, but excluding the following:

4.1.1 garage equipment (including certain tools);

4.1.2 engines;

4.1.3 gearboxes;

4.1.4 surcharges; and

4.1.5 paints,

“Qualifying Transactions”).

4.2 LKQ reserves the right to revise the Qualifying Transactions from time to time.

4.3 The spend thresholds and Points awarded are based on:

4.3.1 in the case of Associated Garages, the spend criteria of each Associated Garage spending at least two thousand pounds (£2,000); or

4.3.2 in the case of a Linked Garage, the combined spend criteria shall be the equivalent of two thousand pounds (£2,000) per Linked Garage,

in each case on Qualifying Transactions per calendar month (“Monthly Spend”).

4.4 The Monthly Spend may be appraised and/or re-determined by LKQ on a monthly basis from time to time.

4.5 Once the Member attains the Monthly Spend, LKQ shall credit the Member a three percent (3%) amount in Points on all 1Tec partner brand spend during that month.

4.6 For promotional purposes and from time to time (at LKQ’s sole and absolute discretion), Points may also be awarded to the Member based on their spend through digital medium (“Digital Spend”). Points shall be calculated and subject to the proportion percentage of a Member’s Digital Spend as against the Member’s overall Monthly Spend as illustrated in Table A below:

Working example(s)

Monthly Spend =£2,000 Digital Spend per month = £600 (or = 30%)

Monthly Spend =£2,000 Digital Spend per month = £1400 (or = 70%)

 Member qualifies for 1% Reward of £600 = 6 points

 Member qualifies for 2% Reward of £900 = 18 points.

  Member qualifies for 3% Reward of £1,400 = 42 points

 

OMNIREWARDS

This schedule (the “Omnirewards Schedule”) sets out the terms of membership to our Omnirewards Programme. This Omnirewards Schedule is in addition to, and should be read in conjunction with, the Reward Terms.

1. DEFINITIONS AND INTERPRETATION

1.1 The terms defined in the Reward Terms shall apply to this Omnirewards Schedule and its annexes. Additional definitions applying exclusively to this Omnirewards Schedule (inclusive of its annexes) are as follows:

“Business Customer” meaning business and/or trade customers of LKQ including sole traders, partnerships and registered companies.

“Equipment Payment Plan” means an agreement between LKQ and Business Customer whereby the customers rebate entitlement is applied towards its repayment of equipment purchased from LKQ using a deferred payment plan.

“Membership Period” meaning the duration of a Member’s participation in the Omnirewards Programme, as detailed in Annex 1.

“Monthly Spend” means at least £3,500 (three thousand five hundred pounds) or such other amount as notified to the Member by LKQ from time to time.

“Qualifying Transaction” means the products purchased from LKQ by the Business Customer, the purchase of which is a qualifying transaction for the purposes of earning Points under the Omnirewards Programme, as further defined in Annex 1 of this Omnirewards Schedule.

1.2 In the event of any conflict or inconsistency between this Omnirewards Schedule and the Reward Terms, this Omnirewards Schedule shall prevail to the extent of that conflict or inconsistency.

2. THE OMNIREWARDS PROGRAMME

2.1 The Omnirewards Programme is only available to Business Customers.

2.2 The Omnirewards Programme comprises the terms of membership to our Omnirewards Programme. The criteria for joining and earning points under the Omnirewards Programme can be found at Annex 1.

2.3 Members of the Omnirewards Programme can access their account balance statements, available Rewards and other Member information online via Lkqrewards.co.uk.

2.4 For queries regarding your membership to the Omnirewards Programme, please contact us at lkqrewards@eurocarparts.com. You may also contact your account manager with any queries.

2.5 For the avoidance of doubt, a Business Customer meeting the eligibility criteria for the Omnirewards Programme in any one Membership Period does not guarantee membership to the Omnirewards Programme in the following Membership Period. Eligibility will be assessed for each Member or potential Member prior to the following Membership Period.

2.6 A new set of Programme Terms must be signed by the Business Customer each year or as determined by LKQ at its sole and absolute discretion.

2.7 A Business Customer is not eligible for the Omnirewards Programme if it has a live Equipment Payment Plan with LKQ.

Annex 1: Omnirewards

1. ENROLLMENT

1.1 Enrolment in the Omnirewards Programme is not automatic.

1.2 A Business Customer's LKQ account manager/branch manager must:

(i) invite a Business Customer to apply; and

(ii) enrol the Business Customer in the Omnirewards Programme.

1.3 To be eligible for the Omnirewards Programme, the Business Customer must meet the Monthly Spend.

1.4 LKQ reserves the right to amend the eligibility criteria from time to time at its discretion. Members must satisfy the eligibility criteria in force as at the date of their registration and thereafter throughout their participation in the Omnirewards Programme.

1.5 LKQ reserves the right to disqualify a Member at any time should the Member fail to meet the Monthly Spend or any of the other eligibility criteria then in force.

1.6 Eligibility may be assessed by LKQ periodically.

1.7 The Business Customer will remain eligible to participate in the Omnirewards Programme so long as they meet the Monthly Spend and satisfy any other eligibility requirements as determined by LKQ from time to time in its discretion (the "Membership Period").

1.8 Points accumulated during a Membership Period will continue to be valid until their expiry date in accordance with clause 4.14 of the Reward Terms.

2. POINT ACCUMULATION

2.1 Points are earned against a Business Customer’s spend on products purchased from LKQ, but excluding the following:

2.1.1 garage equipment (including certain tools);

2.1.2 engines

2.1.3 gearboxes

2.1.4 surcharges; and

2.1.5 paints,

(“Qualifying Transactions”).

2.2 LKQ reserves the right to revise the Qualifying Transactions from time to time.

2.3 The spend thresholds and Points awarded are based on the applicable spend criteria of each Member, as determined by LKQ in its sole and absolute discretion. The spend thresholds are subject to annual review and may be amended by LKQ from time to time.

RAC

This schedule (the “RAC Schedule”) sets out the terms of membership to our RAC Programme. The RAC Schedule is in addition to, and should be read in conjunction with, the Reward Terms.

1. DEFINITIONS AND INTERPRETATION

1.1 The terms defined in the Reward Terms shall apply to this RAC Schedule. Additional definitions applying exclusively to this RAC Schedule are as follows:

“Approved Garage” means any individual (independent) garage which is party to, or member of, the RAC Approved Garage Network.

“Business Customer” meaning business and/or trade customers of LKQ including sole traders, partnerships and registered companies which are an Approved Garage.

“Membership Period” meaning the duration of a Member’s participation in the RAC Programme, as detailed in paragraph 3 of this RAC Schedule.

“Monthly Spend” means the monthly amount the Member must spend on Qualifying Transactions to accumulate Points and earn Rewards as more fully described in paragraph 4 of this RAC Schedule.

“Qualifying Transaction” means the products purchased from LKQ by the Business Customer, the purchase of which is a qualifying transaction for the purposes of earning Points under the RAC Programme, as further defined in paragraph 4.1 of this RAC Schedule.

“RAC Approved Garage Network” means the RAC branded customer-facing network operated by the RAC and available to independent garages.

1.2 In the event of any conflict or inconsistency between this RAC Schedule and the Reward Terms, this RAC Schedule shall prevail to the extent of that conflict or inconsistency.

2. THE RAC PROGRAMME

2.1 The RAC Programme is only available to Business Customers.

2.2 Members of the RAC Programme can access their account balance statements online via lkqrewards.co.uk.

2.3 For queries regarding your membership to the RAC Programme, please contact us at approvedgarages@eurocarparts.com. You may also contact your account manager with any queries.

2.4 For the avoidance of doubt, a Business Customer meeting the eligibility criteria for the RAC Programme at the time of their registration does not guarantee the continuation of their membership to the RAC Programme.

2.5 A new set of Programme Terms must be signed by the Business Customer each year or as determined by LKQ at its sole and absolute discretion.

3. ENROLLMENT

3.1 Enrolment in the RAC Programme is automatic for Members provided that the Business Customer has first registered its details on lkqrewards.co.uk and accepted the Programme Terms.

3.2 Eligibility to participate in the RAC Programme may be assessed by LKQ on a monthly basis.

3.3 If the eligibility criteria are met the Business Customer will be eligible for Rewards, and where it is not met LKQ may (at its sole and absolute discretion) remove the Member from the RAC Programme subject to the rest of the Programme Terms (the "Membership Period").

3.4 Members must satisfy the eligibility criteria in force as at the date of their registration and thereafter throughout their participation in the RAC Programme.

3.5 For the avoidance of doubt, eligibility in one Membership Period does not guarantee membership in any following period(s). Eligibility will be assessed for each Member or potential Member from time to time.

3.6 Members of the Garagehive Programme are ineligible to join the RAC Programme.

4. POINT ACCUMULATION

4.1 Points will accumulate from the point at which the Member registers its details on lkqrewards.co.uk.

4.2 Points are earned against a Business Customer’s spend on products purchased from LKQ, but excluding the following:

4.2.1 Garage equipment (including certain tools)

4.2.2 Engines

4.2.3 Gearboxes

4.2.4 Surcharges

4.2.5 Paints

(collectively, “Qualifying Transactions”).

4.3 LKQ reserves the right to revise the Qualifying Transactions from time to time.

4.4 The Points awarded are based on the spend criteria of each Member spending at least one thousand pounds (£1000) on Qualifying Transactions per calendar month (“Monthly Spend”). The Monthly Spend may be appraised and/or re-determined by LKQ on a monthly basis from time to time.

This schedule (the “Accelerate Schedule”) sets out the terms of membership to our Accelerate Programme. The Accelerate Schedule is in addition to, and should be read in conjunction with, the Reward Terms.

1.1 The terms defined in the Reward Terms shall apply to this Accelerate Schedule. Additional definitions applying exclusively to this Accelerate Schedule are as follows:

“Business Customer” meaning business and/or trade customers of LKQ including sole traders, partnerships and registered companies which are signed up to LKQ Rewards.

“Campaign” meaning the product category specific initiative falling under the Accelerate Programme, which allows a Business Customer to earn Points based on their spend on Qualifying Transactions.

“LKQ Rewards” meaning the rewards platform operated by LKQ, available at: LKQrewards.co.uk.

“Membership Period” meaning the duration of a Member’s participation in the Accelerate Programme, as detailed in paragraph 3 of this Accelerate Schedule.

“Parts” means those products listed in the table provided at paragraph 5.1 of this Accelerate Schedule.

“Points” meaning the Points available to the Member based on their spend on Qualifying Transactions, the amount of such points to correspond with the relevant Product Category.

“Qualifying Transaction” means the Members purchase of the Product Category specific Product from LKQ, as further defined in paragraph 5.1 of this Accelerate Schedule.

“Target Spend” means the monthly amount the Member must spend on Parts to earn Points, communicated to the Member and subject to change.

1.2 In the event of any conflict or inconsistency between this Accelerate Schedule and the Reward Terms, this Accelerate Schedule shall prevail to the extent of that conflict or inconsistency.

2. THE ACCELERATE PROGRAMME

2.1 Only Business Customers are eligible to become Members of the Accelerate Programme.

2.2 The Accelerate Programme comprises a series of Campaigns, each enabling Members to earn Points on their spend on Qualifying Transactions.

2.3 Members can access their account balance statements and Points online via LKQrewards.co.uk.

2.4 For queries regarding your membership to the Accelerate Programme, please contact us at lkqrewards@eurocarparts.com. 

2.5 A new set of Programme Terms must be signed by the Member each year or as determined by LKQ at its sole and absolute discretion.

3. ENROLLMENT AND ELIGIBILITY

3.2 If a Business Customer is eligible to become a Member of the Accelerate Programme pursuant to paragraph 3.3 below, they will be invited by a representative of LKQ to register to LKQ Rewards. Once registered, the Member will be able to view the Campaigns which they are eligible for.

3.3 To join a Campaign, they must complete the registration form and input their details on LKQrewards.co.uk to activate their membership to that Campaign.

3.4 Members must satisfy the eligibility criteria in force from time to time to remain eligible to participate in the Accelerate Programme.

3.5 Where the eligibility criteria is not met and/or LKQ determines (at its sole discretion) to remove the Member from one or more Campaigns, LKQ may withdraw such Campaign(s) from the Member and/or remove the Member from the Accelerate Programme completely, subject to the rest of the Programme Terms.

3.6 Each Campaign is governed by its own rules and requirements as detailed in paragraph 4 below.

3.7 Members of the Omnirewards Programme and/or the 1Tec Programme are ineligible to join the Accelerate Programme.

4. THE CAMPAIGN

4.1 The duration of each Campaign is determined by LKQ in its sole and absolute discretion (“Membership Period”).

4.2 A Business Customer may be eligible for, and participate in, one or more Campaigns at any given time, provided always that such Business Customer has been invited to join such Campaign(s) in accordance with paragraph 3.2.

5. POINT ACCUMULATION AND REDEMPTION

5.1 Points are earned against a Member's spend on the Products corresponding with the Product Category as seen in the table below (“Qualifying Transactions”):

5.2 LKQ reserves the right to revise Qualifying Transactions from time to time.

5.3 The Points awarded to the Member are specific to each Product Category.

5.4 Any Points earned by the Member up until the month in which they are removed from a Campaign and/or the Accelerate Programme shall be available for redemption and available to use in accordance with clause 4 of the Reward Terms. Any points earned by the Member during the month in which they are removed from a Campaign and/or the Accelerate Programme will be lost and not available for redemption.

PAGID

This schedule (the “Pagid Schedule”) sets out the terms of membership to our Pagid Programme. The Pagid Schedule is in addition to, and should be read in conjunction with, the Reward Terms.

1. DEFINITIONS AND INTERPRETATION

1.1 The terms defined in the Reward Terms shall apply to this Pagid Schedule. Additional definitions applying exclusively to this Pagid Schedule are as follows:

“Business Customer” meaning business and/or trade customers of LKQ including sole traders, partnerships and registered companies who are registered to the Pagid Proud to Fit Network, but strictly excluding any national and/or key account customers and any bodyshop customers.

“Campaign” meaning the product category specific initiative falling under the Pagid Programme, which allows a Business Customer to earn Points based on their spend on Qualifying Transactions.

“LKQ Rewards” meaning the rewards platform operated by LKQ, available at: LKQrewards.co.uk.

“Membership Period” meaning the duration of a Member’s participation in the Pagid Programme, as detailed in paragraph 4 of this Pagid Schedule.

“Pagid Goods” meaning the Pagid branded products sold by LKQ and listed in paragraph 4.1 of this Pagid Schedule;

“Pagid Proud to Fit Network”

“Qualifying Transaction” means the products purchased from LKQ by the Member, the purchase of which is a qualifying transaction for the purposes of earning Points under the Pagid Programme, as further defined in paragraph 5 of this Pagid Schedule.

1.2 In the event of any conflict or inconsistency between this Pagid Schedule and the Reward Terms, this Pagid Schedule shall prevail to the extent of that conflict or inconsistency.

2. THE PAGID PROGRAMME

2.1 Whilst Key Accounts and LKQ Bodyshop customers are excluded from earning Rewards from this Pagid Programme, they may still be eligible for the Pagid Proud to Fit Network.

2.2 Members of the Pagid Programme can access their account balance statements online via LKQrewards.co.uk

3.4 To join a Campaign, the Member must complete the registration form and input their details on LKQrewards.co.uk to activate its membership to that Campaign.

3.5 Members must satisfy the eligibility criteria in force from time to time to remain eligible to participate in the Pagid Programme.

3.6 Where the eligibility criteria is not met and/or LKQ determines (at its sole discretion) to remove the Member from one or more Campaign, LKQ may withdraw such Campaign(s) from the Member and/or remove the Member from the Pagid Programme completely, subject to the rest of the Programme Terms.

3.7 A Business Customer is precluded from becoming a Member of the Pagid Programme if they are Members of any other Programme provided by LKQ.

3.8 Each Campaign is governed by its own rules and requirements as detailed in paragraph 4 below.

4.1 The duration of each Campaign is determined by LKQ in its sole and absolute discretion (“Membership Period”).

4.2 A Business Customer may be eligible for, and participate in, one or more Campaigns at any given time, provided always that such Business Customer has been invited to join such Campaign(s) in accordance with paragraph 3.2.

5. POINT ACCUMULATION AND REWARDS

5.1 A Member is eligible to accumulate Points and earn Rewards in the month in which they register to the Pagid Programme; the Member's total spend in that month shall be taken into account for the purposes of Point accumulation.

5.2 If a Member removes itself from the Pagid Proud to Fit Network, they will no longer be eligible to accumulate Points from the date on which they leave the Pagid Proud to Fit Network; any Points accumulated prior to this date will be awarded into the Member's balance in the following month.

5.3 Points are earned against a Member's spend on the Pagid Goods listed in the table below, but excluding the following:

5.3.1 Products labelled as Pagid RS;

5.3.2 Tools; and

5.3.3 Accessories.

This schedule (the “Garagehive Schedule”) sets out the terms of membership to our Garagehive Programme. The Garagehive Schedule is in addition to, and should be read in conjunction with, the Reward Terms.

1.1 The terms defined in the Reward Terms shall apply to this Garagehive Schedule. Additional definitions applying exclusively to this Garagehive Schedule are as follows:

“Garagehive Network” means the portal used by the Member to order Products from LKQ.

“LKQ Rewards” meaning the rewards platform operated by LKQ, available at: LKQrewards.co.uk

“Qualifying Transaction” means the products purchased from LKQ by the Business Customer, the purchase of which is a qualifying transaction for the purposes of earning Points under the Garagehive Programme, as further defined in paragraph 4 of this Garagehive Schedule.

1.2 In the event of any conflict or inconsistency between this Garagehive Schedule and the Reward Terms, this Garagehive Schedule shall prevail to the extent of that conflict or inconsistency.

2.1 The Garagehive Programme is only available to Business Customers.

3.3 Membership to the Garagehive Programme is subject to the Members continuing membership to the Garagehive Network.

3.4 Members must satisfy the eligibility criteria in force from time to time to remain eligible to participate in the Garagehive Programme.

3.5 Where the eligibility criteria is not met and/or LKQ determines (at its sole discretion) to remove the Member from the Garagehive programme, LKQ may remove the Member from the Garagehive Programme completely, subject to the rest of the Programme Terms.

4. POINT ACCUMULATION

4.1 A Member can only earn Points under this Garagehive Programme by purchasing Products from LKQ via the Garagehive Network (“Digital Spend”). Any Products purchased by a Member, other than through the Garagehive Network, shall not accumulate Points which can subsequently be redeemed for Rewards.

4.2 A Member is eligible to accumulate Points and earn Rewards based on their Digital Spend in the month in which they register to the Garagehive Programme; the Members total spend in that month shall be taken into account for the purposes of Point accumulation.

4.3 If a Member removed itself from the Garagehive Network they will no longer be eligible to accumulate Points from the date on which they leave the Garagehive Network; any Points accumulated prior to this date will be awarded into the Members balance in the following month.

4.4 Points are earned against a Members Digital Spend on products purchased from LKQ, but excluding the following:

4.4.1 Tools and equipment classed as garage equipment;

4.4.2 engines;

4.4.3 gearboxes;

4.4.4 surcharges;

4.4.5 non-stocked parts including products with prefixes of 301, 378, 379, 666, SUR and EGS;

4.4.6 paints, “Qualifying Transactions”).

4.5 LKQ reserves the right to revise the Qualifying Transactions from time to time.

4.6 A Member must spend at least one thousand pounds (£1,000) on Qualifying Transactions per calendar month to be eligible for the Rewards (the “Minimum Spend”). Once a Member has achieved and/or exceeded the Minimum Spend, that Member shall accumulate Points corresponding to their Digital Spend as set forth in the table below:

4.7 Members will receive a 10% discount on Garagehive training courses listed below if such courses are purchased using their accrued Points:

4.7.1 daily onsite refresher training;

4.7.2 group 1 day classroom training;

4.7.3 individual 1 day classroom training;

4.7.4 individual ½ day classroom training;

4.7.5 3 day GH super user imi accredited classroom course.

 

Brembo Expert

This schedule (the “Brembo Schedule”) sets out the terms of membership to our Brembo Expert Programme. This Brembo Schedule is in addition to, and should be read in conjunction with, the Reward Terms.

1. DEFINITIONS AND INTERPRETATION

1.1 The terms defined in the Reward Terms shall apply to this Brembo Schedule. Additional definitions applying exclusively to this Brembo Schedule are as follows:

“Business Customer” meaning business and/or trade customers of LKQ including sole traders, partnerships and registered companies who are registered to the Brembo Expert Programme, but strictly excluding any national and/or key account customers and any bodyshop customers.

“Brembo Expert Programme” meaning the means tested membership programme operated by LKQ, which provides training and other benefits to its members who are authorised to fit Brembo Goods as ‘brembo experts’.

“Campaign” meaning the product category specific initiative falling under the Brembo Programme, which allows a Business Customer to earn Points based on their spend on Qualifying Transactions.

“LKQ Rewards” meaning the rewards platform operated by LKQ, available at: LKQrewards.co.uk.

“Membership Period” meaning the duration of a Member’s participation the Brembo Programme, as detailed in paragraph 4 of this Brembo Schedule.

“Brembo Goods” meaning the brembo branded products sold by LKQ and listed in paragraph 4.1 of this Brembo Schedule;

“Qualifying Transaction” means the products purchased from LKQ by the Member, the purchase of which is a qualifying transaction for the purposes of earning Points under the Brembo Programme, as further defined in paragraph 5 of this Brembo Schedule.

1.2 In the event of any conflict or inconsistency between this Brembo Schedule and the Reward Terms, this Brembo Schedule shall prevail to the extent of that conflict or inconsistency.

2. THE BREMBO PROGRAMME

2.1 Whilst key accounts and bodyshop customers are excluded from earning Rewards under this Brembo Programme, they may still be eligible for the Brembo Expert Programme.

3.6 Where the eligibility criteria is not met and/or LKQ determines (at its sole discretion) to remove the Member from one or more Campaign, LKQ may withdraw such Campaign(s) from the Member and/or remove the Member from the Brembo Programme completely, subject to the rest of the Programme Terms.

3.7 A Business Customer is precluded from becoming a Member of the Brembo Programme if they are Members of any other Programme provided by LKQ.

3.8 Each Campaign is governed by its own rules and requirements as detailed in paragraph 4 below.

4. THE CAMPAIGN

4.1 The duration of each Campaign is determined by LKQ in its sole and absolute discretion (“Membership Period”).

4.2 A Business Customer may be eligible for, and participate in, one or more Campaigns at any given time, provided always that such Business Customer has been invited to join such Campaign(s) in accordance with paragraph 3.2.

5. POINT ACCUMULATION AND REWARDS

5.1 A member is eligible to accumulate Points and earn Rewards in the month in which they register to the Brembo Programme; the Members total spend in that month shall be taken into account for the purposes of Point accumulation.

5.2 If a Member removes itself from the Brembo Expert Programme they will no longer be eligible to accumulate Points from the date on which they leave the Brembo Expert Programme; any Points accumulated prior to this date will be awarded into the Members balance into the following month.

5.3 Points are earned against a Members spend on the Brembo Goods listed in the table below, but excluding the following:

5.3.1 Products labelled as Pagid RS;

5.3.2 Tools;

5.3.3 accessories,

Brake pads  
Brake shoes  
Brake discs  
Brake drums  
Brake sensors  

“Qualifying Transactions”).

5.4 LKQ reserves the right to revise the Qualifying Transactions from time to time.

5.5 A Member must spend at least one thousand two hundred pounds (£1,200) on Qualifying Transactions to be eligible for the Rewards.

5.6 Members who meet the criteria in Paragraph 5.3 will be awarded a 3% Reward on their total net spend on the Qualifying Transactions.
